These Terms of Service ("Terms") govern your access to and use of the Amprok Energy Monitoring Service monitoring service and related hardware provided by Amprok Energy LLC ("Amprok Energy," "we," "us," or "our"), a Utah limited liability company based in West Haven, Utah. By subscribing to the Amprok Energy Monitoring Service or allowing installation of Amprok Energy hardware at your facility, you ("Customer," "you") agree to these Terms.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have authority to bind that entity.
The Amprok Energy Monitoring Service is a subscription-based power quality monitoring service. Amprok Energy installs IoT sensor hardware ("Monitoring Nodes") at your commercial facility to collect feeder-level power quality data including voltage, current, and power event information. That data is transmitted to a cloud dashboard accessible to you as a subscriber.
The service is intended for commercial and industrial customers. It does not constitute electrical contracting, utility service, or any form of energy management advisory service.
The Amprok Energy Monitoring Service is a data service. Amprok Energy does not provide electrical engineering services, utility consulting, or licensed electrical contracting as part of this subscription. Data provided through the dashboard is for informational purposes only and does not constitute professional engineering advice.
Customers should consult a licensed electrical engineer or utility representative before making infrastructure decisions based on Amprok Energy Monitoring Service data.
To the maximum extent permitted by applicable law, Amprok Energy's total liability to you for any claim arising out of or related to these Terms or the Amprok Energy Monitoring Service service shall not exceed the total amount of subscription fees paid by you in the three (3) months immediately preceding the claim.
Amprok Energy is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, equipment damage, or business interruption, even if advised of the possibility of such damages.
You agree to indemnify and hold harmless Amprok Energy LLC, its members, officers, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the service, your breach of these Terms, or your violation of any applicable law.
Amprok Energy will make reasonable efforts to maintain dashboard availability and data transmission. We do not guarantee uninterrupted service and are not liable for outages caused by third-party network providers, hardware failure, or events outside our reasonable control.
Either party may terminate the service subscription with notice as described in Section 2. Amprok Energy may terminate immediately for cause, including non-payment, tampering with equipment, or material breach of these Terms. Upon termination, your access to the dashboard will be suspended and hardware retrieval will be scheduled.
These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Weber County, Utah.
Amprok Energy may update these Terms from time to time. We will notify you of material changes via email or dashboard notification at least 14 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
